FLEX Financial Reporting End User License Agreement ("EULA")

Please read this End User License Agreement ("Agreement", "EULA", "Terms") carefully before using the Flex Financial Reporting service ("Service") operated by Quick Win Development WA Pty Ltd (ACN 664 038 868, ABN 46 664 038 868) ("us", "we", "our", or "Company").

This Agreement sets forth the legally binding terms and conditions for your use of the Flex Financial Reporting Excel Add-in, Google Sheets Add-on, and the website www.flexfinancialreporting.com (collectively, the "Service").

By accessing, installing, or using the Service in any manner, you agree to be bound by this Agreement. If you do not agree to all the terms of this Agreement, you may not access or use the Service.


1. Definitions

"Service" means the Flex Financial Reporting software, including the Excel Add-in, Google Sheets Add-on, website, and all related services provided by the Company.
"User" or "you" means the individual or entity using the Service.
"Subscription" means a paid plan that grants access to the Service.
"Xero" means Xero Limited and its accounting software platform.
"Content" means any data, information, or materials accessed through the Service.
"Account Owner" means the user who subscribes to a multi-user plan and invites team members.
"Team Member" means a user invited by an Account Owner to share a multi-user subscription.


2. Grant of License

Subject to your compliance with this Agreement and payment of applicable fees, the Company grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes.

This is a Software-as-a-Service (SaaS) license. You do not receive any ownership rights in the Service. All rights not expressly granted to you are reserved by the Company.

The Service is licensed, not sold. This license does not permit you to:

  • Modify, reverse engineer, decompile, or disassemble the Service
  • Remove or alter any proprietary notices or labels
  • Use the Service for any unlawful purpose
  • Resell, sublicense, or transfer your rights to the Service
  • Use the Service to develop competing products or services
  • Attempt to gain unauthorized access to any systems or networks

3. Subscription and Payment

3.1 Subscription Plans

The Service is offered through various subscription plans with different features and connection limits. Current plans and pricing are available at www.flexfinancialreporting.com. We reserve the right to modify subscription plans and pricing at any time.

3.2 Payment Processing

All payments are processed exclusively through PayPal. By subscribing, you authorize PayPal to charge your selected payment method on a recurring basis according to your chosen billing cycle (monthly or annual).

PayPal supports both PayPal accounts and direct credit card payments. All billing is fully automated through PayPal. We do not store credit card information.

3.3 Automatic Renewal

Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date. You are responsible for cancelling your subscription through PayPal or by contacting support@flexfinancialreporting.com.

3.4 Refund Policy

Refunds are provided at our sole discretion on a case-by-case basis. We may provide refunds for genuine errors or exceptional circumstances, but we are under no obligation to do so. Refunds, if granted, are limited by PayPal's refund capabilities and timeframes.

To request a refund, contact support@flexfinancialreporting.com with details of your situation. All refund decisions are final.

3.5 Non-Payment and Suspension

If payment fails or your subscription is cancelled, your access to the Service will be suspended or terminated. We are not responsible for any data loss or business interruption resulting from non-payment.

3.6 Taxes

Prices displayed in Australian Dollars (AUD) include GST where applicable. Prices in other currencies do not include local taxes, which are your responsibility.


4. User Account and Responsibilities

4.1 Account Creation

To use the Service, you must create an account by providing accurate and complete information. You may create an account using your email address or through Xero Single Sign-On (SSO).

4.2 Xero Account Requirement

The Service requires a valid Xero account and authorization to access your Xero organization(s). You are responsible for maintaining your Xero account and ensuring you have proper authorization to connect it to the Service.

4.3 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must:

  • Use strong, unique passwords
  • Not share your account credentials with others
  • Notify us immediately of any unauthorized access or security breach
  • Use proper team member invitations for multi-user access rather than sharing credentials

4.4 Accurate Information

You agree to provide accurate, current, and complete information and to update such information as necessary to maintain its accuracy.

4.5 Prohibited Uses

You may not use the Service to:

  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights of others
  • Transmit malicious code, viruses, or harmful content
  • Attempt to gain unauthorized access to systems or data
  • Interfere with or disrupt the Service or servers
  • Use automated systems to access the Service beyond normal usage
  • Access data you are not authorized to access

5. Multi-User Accounts

5.1 Multi-User Plans

Small Business and Enterprise subscription plans support multi-user access. Only the Account Owner needs a subscription. Team Members are invited to share the subscription at no additional cost.

5.2 Account Owner Responsibilities

The Account Owner:

  • Subscribes to a multi-user plan and pays all subscription fees
  • Invites Team Members by email
  • Is responsible for all activity under their subscription, including Team Member activity
  • Can remove Team Members at any time
  • Manages the total connection limit for all users

5.3 Team Member Rights

Team Members:

  • Accept invitations from the Account Owner
  • Connect to Xero organizations using their own Xero credentials
  • Have their connections count against the Account Owner's subscription limit
  • Can unlink themselves from the subscription at any time
  • Do not have billing or subscription management rights

5.4 Connection Limits

All connections made by the Account Owner and all Team Members count against the subscription's total connection limit. For example, if three users each connect to three Xero organizations, this uses nine connections.

5.5 Account Ownership Transfer

Accounts cannot be transferred between users. If account ownership needs to change (e.g., staff departure), the current owner must cancel their subscription and the new owner must create a new account and subscribe. We recommend using generic company email addresses (e.g., accounts@company.com) to avoid this issue.


6. Data and Privacy

6.1 Privacy Policy

Your use of the Service is also governed by our Privacy Policy, available at www.flexfinancialreporting.com/Home/Privacy. By using the Service, you consent to the practices described in the Privacy Policy.

6.2 Data Flow Architecture

The Service uses a secure proxy server to facilitate communication between your Excel application and the Xero API. Financial data flows directly from Xero through our proxy to your Excel application. We do not store or cache your financial data on our servers.

6.3 Authentication and Security

The Service uses OAuth 2.0 authentication protocol for secure access to Xero. Authentication tokens are encrypted and automatically refreshed every 30 minutes. All data transmission uses HTTPS encryption with TLS 1.2 or higher.

6.4 Xero Certified Partner

Flex Financial Reporting is a Xero Certified App Partner and complies with Xero's comprehensive security standards, which are based on the DSPANZ Security Standard for Add-on Marketplaces. We are regularly audited by Xero to maintain our certification status.

6.5 User Data Ownership

You retain all ownership rights to your data accessed through the Service. We claim no ownership or control over your financial data from Xero.

6.6 Data Security Responsibilities

While we implement industry-standard security measures, you are responsible for:

  • Securing your Excel workbooks containing financial data
  • Controlling access to workbooks and computers
  • Using Excel's built-in security features to protect sensitive data
  • Storing workbooks in secure locations

7. Intellectual Property Rights

7.1 Company Ownership

The Service and its original content, features, functionality, source code, and design are owned by Quick Win Development WA Pty Ltd and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

7.2 Trademarks

"Flex Financial Reporting" and related logos are trademarks of Quick Win Development WA Pty Ltd. You may not use these trademarks without our prior written permission.

7.3 Third-Party Trademarks

Xero and related trademarks are the property of Xero Limited. Microsoft, Excel, and related trademarks are the property of Microsoft Corporation. Google, Google Sheets, and related trademarks are the property of Google LLC. Use of these trademarks does not imply endorsement.

7.4 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such feedback into the Service without compensation or attribution.


8. Support and Services

8.1 Support Scope

We provide email-based technical support at support@flexfinancialreporting.com for:

  • Technical troubleshooting (installation errors, connection issues, data problems)
  • Bug reports and feature requests
  • Account and subscription management
  • Product functionality questions

8.2 Support Limitations

Support does not include:

  • Phone calls or video meetings
  • Training sessions or scheduled consultations
  • Custom report building
  • Implementation planning or project management

8.3 Documentation

Comprehensive documentation is available at www.flexfinancialreporting.com/Documentation. Users are expected to consult documentation before requesting support.

8.4 Consultancy Services

For hands-on implementation assistance, custom reporting, or training, third-party consultancy services are available upon request. These services are separate from your subscription and may incur additional fees.

8.5 Response Times

We strive to respond to support requests promptly, but we do not guarantee specific response times or resolution timeframes.


9. Service Availability

9.1 No Uptime Guarantees

We do not guarantee that the Service will be available at all times or that it will be uninterrupted, timely, secure, or error-free. We do not provide any Service Level Agreement (SLA) or uptime commitments.

9.2 Maintenance and Updates

We may perform maintenance, updates, or modifications to the Service at any time, which may result in temporary unavailability or interruption of service. We will attempt to provide notice of planned maintenance when practical, but are not obligated to do so.

9.3 Service Modifications

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We are not liable for any modification, suspension, or discontinuation of the Service.

9.4 Third-Party Dependencies

The Service depends on third-party services, including Xero's API, Microsoft's Excel platform, Google's Sheets platform, and PayPal's payment processing. We are not responsible for interruptions or issues caused by these third-party services.


10. Warranties and Disclaimers

10.1 "AS-IS" Service

THE SERVICE IS PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

10.2 No Warranty of Accuracy

We do not warrant that:

  • The Service will meet your specific requirements
  • The Service will be uninterrupted, timely, secure, or error-free
  • The results obtained from the Service will be accurate or reliable
  • The quality of the Service will meet your expectations
  • Any errors in the Service will be corrected

10.3 Data Accuracy

While the Service retrieves data directly from Xero's API, we do not guarantee the accuracy, completeness, or reliability of any data accessed through the Service. You are responsible for verifying the accuracy of all data and reports.

10.4 No Professional Advice

The Service is a software tool and does not provide accounting, financial, legal, or tax advice. You should consult with qualified professionals for such advice.

10.5 Australian Consumer Law

Nothing in this Agreement excludes, restricts, or modifies any consumer rights under the Australian Consumer Law or other applicable laws that cannot be excluded, restricted, or modified by agreement.


11. Limitation of Liability

11.1 Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE SERVICE SHALL NOT EXCEED THE LESSER OF:

  • (A) THE TOTAL FEES PAID BY YOU TO US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR
  • (B) ONE HUNDRED AUSTRALIAN DOLLARS (AUD $100).

11.2 Exclusion of Consequential Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue, or business opportunities
  • Loss of data or information
  • Business interruption
  • Loss of goodwill or reputation
  • Cost of substitute services

THIS LIMITATION APPLIES REGARDLESS OF THE LEGAL THEORY ON WHICH THE CLAIM IS BASED, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11.3 Basis of the Bargain

You acknowledge that the fees charged for the Service reflect the allocation of risk set forth in this Agreement and that we would not enter into this Agreement without these limitations on our liability.

11.4 Australian Consumer Law Carve-Out

Nothing in this section limits our liability for:

  • Death or personal injury caused by our negligence
  • Fraud or fraudulent misrepresentation
  • Any liability that cannot be excluded or limited under Australian Consumer Law or other applicable laws

12. Indemnification

You agree to indemnify, defend, and hold harmless Quick Win Development WA Pty Ltd, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

  • Your use or misuse of the Service
  • Your violation of this Agreement
  • Your violation of any third-party rights, including intellectual property rights
  • Your violation of any applicable laws or regulations
  • Any unauthorized access to Xero accounts or data

13. Termination

13.1 Termination by You

You may terminate this Agreement at any time by:

  • Cancelling your subscription through PayPal or by emailing support@flexfinancialreporting.com
  • Ceasing all use of the Service
  • Deleting your account

Your access will continue until the end of your current billing period. No refunds will be provided for partial billing periods unless granted at our sole discretion.

13.2 Termination by Us

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including but not limited to:

  • Breach of this Agreement
  • Non-payment of fees
  • Fraudulent or illegal activity
  • Misuse of the Service
  • At our sole discretion for any reason

13.3 Effect of Termination

Upon termination:

  • Your right to access and use the Service immediately ceases
  • You remain responsible for any fees incurred prior to termination
  • We may delete your account information within 90 days
  • Sections of this Agreement that by their nature should survive termination shall survive, including intellectual property provisions, warranty disclaimers, indemnity, and limitations of liability

13.4 Data Retrieval

You are responsible for exporting or saving any data from Excel workbooks before termination. We do not store your financial data and cannot retrieve it after termination.


14. Third-Party Services and Integrations

14.1 Xero Integration

The Service integrates with Xero's accounting platform. Your use of Xero is governed by Xero's terms of service and privacy policy. We are not responsible for Xero's services, policies, or any changes Xero makes to its API or platform.

14.2 Microsoft Excel and Google Sheets

The Service operates as an add-in for Microsoft Excel and Google Sheets. You are responsible for maintaining valid licenses for these platforms. We are not responsible for changes to Excel or Sheets that may affect the Service.

14.3 PayPal

Payment processing is handled by PayPal. Your use of PayPal is governed by PayPal's terms of service and privacy policy. We are not responsible for PayPal's services or policies.

14.4 Third-Party Links

The Service may contain links to third-party websites or services. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party sites or services.


15. Changes to This Agreement

15.1 Right to Modify

We reserve the right to modify this Agreement at any time at our sole discretion. We will notify you of material changes by:

  • Posting the updated Agreement on our website with a new "last modified" date
  • Sending an email notification to your registered email address (when practical)

15.2 Acceptance of Changes

Your continued use of the Service after any changes to this Agreement constitutes your acceptance of the new terms. If you do not agree to the modified terms, you must stop using the Service and cancel your subscription.

15.3 Review Obligation

You are responsible for reviewing this Agreement periodically for changes. We recommend checking the "last modified" date at the top of this page.


16. Governing Law and Dispute Resolution

16.1 Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Western Australia and the Commonwealth of Australia, without regard to conflict of law principles.

16.2 Jurisdiction

You agree to submit to the exclusive jurisdiction of the courts located in Western Australia for the resolution of any disputes arising out of or relating to this Agreement or the Service.

16.3 Dispute Resolution

Before initiating any legal proceedings, you agree to first contact us at support@flexfinancialreporting.com to attempt to resolve the dispute informally.


17. General Provisions

17.1 Entire Agreement

This Agreement, together with our Privacy Policy, constitutes the entire agreement between you and Quick Win Development WA Pty Ltd regarding the Service and supersedes all prior agreements and understandings.

17.2 Severability

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect, and the invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.

17.3 Waiver

Our failure to enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative.

17.4 Assignment

You may not assign or transfer this Agreement or your rights under it without our prior written consent. We may assign this Agreement without restriction. Any attempted assignment in violation of this section is void.

17.5 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

17.6 Headings

The section headings in this Agreement are for convenience only and have no legal or contractual effect.

17.7 Language

This Agreement is written in English. Any translations are provided for convenience only. In the event of any conflict between the English version and a translation, the English version shall prevail.

19. Acknowledgment

BY USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT, UNDERSTAND IT, AND AGREE TO BE BOUND BY ITS TERMS AND CONDITIONS. IF YOU DO NOT AGREE TO THIS AGREEMENT, YOU MUST NOT ACCESS OR USE THE SERVICE.
